Terms of Service

These Terms of Service ("Terms") are an agreement between you and Finaxel ("Finaxel", "we", "us") and govern your use of the Finaxel website and application (the "Service"). By creating an account, checking the acceptance box or using the Service, you accept them. If you use the Service on behalf of a business, you accept these Terms for it and confirm you have authority to do so; "you" then means that business.

Finaxel is a tool for United States businesses. You must be at least 18, provide accurate information and not be barred from receiving services under US law (including economic sanctions). Each login is personal: do not share it.

• Keep your password confidential. We recommend turning on two-step verification.
• You are responsible for activity under your account and must tell us promptly if you suspect unauthorized access.
• If you invite team members, you decide which modules they can use and you are responsible for their use.
• For security we sign you out after 3 hours of inactivity and may require additional verification.

• Free plan: read-only access at no cost.
• Finaxel Pro: US $60 per month or US $600 per year, plus applicable taxes. The price is shown before you pay and is charged in advance through Stripe.
• Automatic renewal: your plan renews for the same period at the then-current price, and the payment method on file is charged at each renewal, until you cancel. Before each yearly renewal we send you a reminder. We will give you at least 30 days’ notice before a price change applies to you.
• Cancellation: you can cancel online at any time at /pro or through “Manage billing”. It takes effect at the end of the period you already paid and you are not charged again. If you choose to cancel immediately, your account moves to the Free plan right away.
• Refunds: as described in the Refund Policy.
• If a payment fails we may retry it and, if it is not resolved, move your account to the Free plan. We do not delete your data because of it.

Payment processing services for users on Finaxel are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to accept payments through Finaxel, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of Finaxel enabling payment processing services through Stripe, you agree to provide Finaxel accurate and complete information about you and your business, and you authorize Finaxel to share it and transaction information related to your use of the payment processing services provided by Stripe.

• Finaxel is not a bank or a money transmitter: funds are moved by Stripe to your account.
• Stripe’s processing fees apply. If Finaxel charges a platform fee on your payments, you will see it in the Service before it applies.
• You are responsible to your customers for what you sell and for refunds, disputes, chargebacks and the fees they create. You authorize us to recover amounts we have to cover for them.

Finaxel uses Plaid Inc. (“Plaid”) to gather your data from financial institutions. By using this feature, you grant Finaxel and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from your relevant financial institution. You agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy.

The connection is read-only (accounts, balances and transactions). Finaxel never receives your bank password. You can disconnect an account at any time.

• The payroll module is a simulation tool. It does not file returns with the IRS or any state, pay employees or deposit taxes.
• Federal withholding uses the IRS Publication 15-T tables for the pay date’s year; state withholding is a flat-rate estimate, not each state’s formula.
• Tax forms (1099-NEC, 1096, W-2, W-3, 940, 941, Schedule C) are reference worksheets built from what you recorded. You are responsible for reviewing, filing and paying on time.
• Finaxel does not provide tax, legal, accounting or financial advice. Verify amounts with a qualified professional before relying on them.

• The data you enter (clients, vendors, employees, invoices, transactions) is yours. You grant us a limited license to host, process, transmit and display it only to provide, secure and improve the Service and to comply with the law.
• You confirm you have the right to give us third parties’ data you enter (for example, your employees’ or customers’) and that you gave them the notices and obtained the consents the law requires.
• How we handle personal information is described in the Privacy Policy.

You must not: use the Service for illegal activity, fraud or money laundering; sell products or services Stripe prohibits; send unsolicited email through invoices; upload malicious code; try to access others’ data, bypass access controls or rate limits, or probe or attack the Service; reverse engineer, scrape or resell the Service without permission.

You agree to receive notices, receipts and account communications electronically (email or in-app). Service emails — verification codes, security alerts, receipts and renewal reminders — are part of the Service. Invoice emails and reminders Finaxel sends to your customers are sent on your behalf, and you are responsible for their content.

The Service, its software, design, text and the Finaxel name and logo belong to Finaxel or its licensors. We give you a limited, revocable, non-transferable right to use it while you have an account. If you send us feedback, we may use it without obligation. Stripe, Plaid, Google and Apple are trademarks of their respective owners; IRS forms are works of the US government.

Some features rely on third parties (Stripe, Plaid, Google, email delivery and hosting providers). Their own terms govern those services, and we are not responsible for their availability or conduct.

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation; maintenance may occur. We may change or retire features; if a change materially reduces what you pay for, we will tell you in advance.

You may stop using the Service at any time. We may suspend or close an account for breach of these Terms, fraud or security risk, non-payment or legal requirement, with notice where reasonable. If we close your account without a breach on your part, you may ask us for an export of your data for 30 days.

To the extent permitted by law, the Service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that calculations, tax figures or third-party data are accurate or complete.

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or tax penalties. Our total liability for any claim is limited to the greater of what you paid us in the 12 months before the claim or US $100. Some jurisdictions do not allow these limitations; there, they apply to the extent permitted.

You will defend and hold us harmless from third-party claims arising from your data, your use of the Service in breach of these Terms or the law, disputes with your customers or employees, and your tax filings.

These Terms are governed by applicable US federal law and the laws of the state in which Finaxel’s operator is organized, without regard to conflict-of-laws rules.

Before bringing a claim, write to us at contactfinaxel@gmail.com and let us try to resolve it in good faith for 30 days. Nothing here limits rights you have under consumer protection laws.

If we change these Terms materially, we will notify you by email or in the app at least 15 days before the change takes effect. If you disagree, you can cancel before that date; if the change materially reduces your rights, we will refund the unused part of a prepaid yearly plan. Continuing to use the Service after that date means you accept the new Terms.

These Terms, the Privacy Policy, the Cookie Policy and the Refund Policy are the entire agreement. If a provision is invalid, the rest remains in effect. Not enforcing a right is not a waiver. You may not assign this agreement without our consent; we may assign it in a reorganization or sale of the business. We are not liable for failures caused by events beyond our reasonable control.
